Recently, many of our clients have contacted us regarding mailings they have received stating that they are required pay a fee of $125.00 to file “annual minutes” for their company. The companies responsible for these mailings, Compliance Services and Corporate Record Services, are not affiliated in any way with the Florida Division of Corporations (part of the Florida Secretary of State’s office) and these mailings are scams. In addition, an organization calling itself the Florida Center of Corporations in Davie has contacted many Florida entities seeking $45.72 to “complete their articles of incorporation.” This is also a scam. Florida business owners should be aware that they are never required to file annual minutes with the state, though they are required to file “annual reports” by May 1 of each year in order to maintain active status for their entities. Please remain vigilant about this commonplace fraud.
