Matthew J. Lapointe
Principal
Matthew is a Principal in the firm’s Business & Corporate and Health Care Law practice groups. Matthew represents companies and entrepreneurs in the full range of business and corporate matters and serves as general outside counsel to business owners in all sectors of the economy. He advises business owners on day-to-day issues, such as personnel problems, as well as on strategic issues, such as business succession planning and business sales and acquisitions. Matthew works with start-ups as well as mature businesses, solving challenging problems with practical solutions.
In his Health Care Law practice, Matt advises health care providers and health care institutions on compliance with the HIPAA Privacy and Security Rules, the federal anti-referral law, anti-kickback law, Medicare and Medicaid compliance, as well as compliance with state licensing laws. Matthew has handled numerous health care transactions, including the purchase and sale of physician practices, dental practices, veterinary clinics, nursing homes, and assisted living facilities.

- Assisted three siblings and their mother with exit planning in connection with a $40 million family business, including the preparation of a shareholder agreement and executive employment agreements for key non-family personnel
- Represented the survivor entity in connection with the strategic merger of a struggling sportswear company with and into a larger, successful company and prepared a new LLC Operating Agreement for the survivor entity
Health Care Law
- Represented numerous dentist and orthodontist clients in the purchase or sale of their dental practices
- Assisted two physicians who no longer wished to practice together with the amicable separation of their practice
- Advised several physicians who were members of a multi-specialty practice in connection with their withdrawal from that practice and the establishment of their own, independent medical practice
- Reviewed and edited a commercially available HIPAA Manual for dental practices
